Conditions and timetable regarding new share issue

CONDITIONS AND TIMETABLE REGARDING NEW SHARE ISSUE When Getinge announced the acquisition of Maquet and ALM, it was stated that these acquisitions would be partly financed through a new share issue during the first four months of 2001. As a consequence, Getinge's Board of Directors have today reached a decision regarding the issue of new shares subject to the approval of an Extraordinary General Meeting, planned for 8 March 2001. Existing shareholders will have preferential rights in the new issue as follows: each block of 9 shares will entitle the holder to one new share at a price of SEK 100. Holders of class A shares are entitled to subscribe for new class A shares, and holders of class B shares are entitled to subscribe for new class B shares. A maximum of 337,554 new class A shares and 4,709,294 new class B shares will be issued. The new share issue will raise SEK 504.7 million for Getinge. Carl Bennet AB and Investment AB Latour have announced that they will be utilising their subscription rights. Both companies will acquire any outstanding new shares, if the new issue is not fully subscribed, in accordance with the established issue guarantee.
